Job Overview

We are looking for a Deputy Manager – Secretarial to support corporate governance and compliance functions under the Companies Act, 2013 and other applicable regulations. The role involves ensuring statutory compliance, assisting in board and shareholder meetings, and maintaining the highest standards of governance within the organization, particularly in the power sector.

Key Responsibilities

1. Corporate Governance

  • Ensure compliance with corporate governance norms, legal frameworks, and regulatory guidelines (MCA, SEBI, etc.).
  • Prepare and file annual reports, returns, and statutory documents as per company law requirements.
  • Maintain accurate records of Board meetings, resolutions, and shareholder meetings.
  • Assist in organizing Board, Committee, and General Body meetings, ensuring timely communication and documentation.

2. Secretarial Support

  • Draft agendas, minutes, and resolutions for all official meetings.
  • Ensure timely submission of statutory filings and reports (Annual Returns, Financial Statements, etc.).
  • Maintain statutory registers (Members, Directors, Charges, etc.) in compliance with the Companies Act.

3. Compliance

  • Monitor changes in corporate and regulatory frameworks impacting the power sector.
  • Ensure ongoing compliance with the Companies Act, 2013, and sector-specific legal requirements.
  • Liaise with regulatory authorities for approvals, filings, and compliance audits.

4. Record Management & Documentation

  • Maintain and safeguard all corporate records, filings, and resolutions.
  • Ensure documentation is audit-ready and easily accessible.

5. Miscellaneous & Special Projects

  • Support projects related to corporate restructuring, mergers, acquisitions, or divestitures.
  • Perform additional duties as assigned by the Company Secretary or senior management.

Qualifications & Experience

  • Qualification: Qualified Company Secretary (CS).
  • Industry: Open to candidates from any industry (Power sector experience preferred).
  • Experience: 3–8 years of post-qualification experience in corporate secretarial and compliance functions.

Skills & Competencies

  • Strong understanding of corporate laws, governance principles, and regulatory compliance.
  • Excellent drafting and documentation skills.
  • Attention to detail with strong organizational abilities.
  • Effective communication and coordination with internal and external stakeholders.
